By accessing or using SympleCRM, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Subscription and Billing

Our subscription terms are as follows:

  • 7-day free trial with full access to all features
  • $18.99/month after trial period
  • No refunds are provided for subscription fees
  • You may cancel at any time
  • Your account will remain active until the end of the billing period
  • After cancellation, your data will be retained for 30 days
  • Reactivating within 30 days restores access to your data

3. Account Terms

When creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Take responsibility for all activities under your account
  • Not share your account with others
  • Not use the service for any illegal or unauthorized purpose

4. Data Privacy and Security

We take data privacy and security seriously:

  • All data is encrypted in transit using TLS
  • Your data is isolated using Row Level Security
  • We implement industry-standard security measures
  • You retain ownership of your data
  • We only access your data to:
    • Provide and improve the service
    • Comply with legal requirements
    • Investigate potential violations

5. Fair Usage

To ensure optimal service for all users, we implement fair usage limits:

  • Up to 50,000 contacts per account
  • 3GB storage for documents and attachments
  • Maximum file size of 25MB per upload
  • Up to 50 file uploads per day

6. Intellectual Property

Intellectual property rights are allocated as follows:

  • You retain all rights to your data
  • SympleCRM retains all rights to:
    • The service and its features
    • Our trademarks and branding
    • Our proprietary technology
  • You may not copy or modify the service
  • You may not reverse engineer the service

7. Changes to Terms

We may update these Terms of Service:

  • Changes may reflect:
    • New features or services
    • Legal or regulatory requirements
    • Security updates
  • We will notify you of material changes via email
  • Continued use after changes constitutes acceptance
  • If you disagree with changes, you may cancel your subscription

8. Termination

Account termination can occur in the following ways:

  • You may cancel your subscription at any time
  • We may terminate accounts for:
    • Terms of Service violations
    • Fraudulent activity
    • Extended inactivity
    • Non-payment
  • Upon termination:
    • Access is immediately revoked
    • Data is retained for 30 days
    • Data is permanently deleted after 30 days
    • No refunds are provided

9. Support and Maintenance

Our support services include:

  • Email support during business hours
  • Documentation and help resources
  • Regular maintenance and updates
  • Security patches and bug fixes
  • Scheduled maintenance windows

10. Governing Law

Legal jurisdiction and dispute resolution:

  • These terms are governed by New Jersey law
  • Disputes will be resolved through arbitration
  • Arbitration will be conducted in New Jersey
  • You waive the right to jury trial
  • Class action lawsuits are not permitted

11. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid in the last 3 months
  • We are not responsible for third-party services

12. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

  • Your violation of these Terms
  • Your use of the service
  • Your violation of laws or regulations
  • Content you submit or share

13. Disclaimer of Warranties

The service is provided "as is" and "as available":

  • We make no warranties about reliability or accuracy
  • We do not guarantee uninterrupted service
  • We are not responsible for third-party services
  • Use of the service is at your own risk

14. Force Majeure

We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including:

  • Natural disasters (floods, earthquakes, fires)
  • Acts of war, terrorism, or civil unrest
  • Internet or hosting provider failures
  • Cyberattacks or data breaches
  • Government regulations or restrictions
  • Pandemics or public health emergencies

If such an event occurs, we will make reasonable efforts to resume service as soon as possible.

15. Beta Features

From time to time, we may release beta features for testing purposes:

  • Beta features may have bugs or limited functionality
  • Use of beta features is at your own risk
  • We provide no guarantees regarding performance or reliability
  • We may modify or discontinue beta features at any time

16. Scheduled Downtime

We may occasionally perform scheduled maintenance:

  • Advance notice will be provided when possible
  • Service may be temporarily unavailable during maintenance
  • We are not liable for losses caused by scheduled downtime
  • Maintenance is necessary to:
    • Improve performance
    • Fix bugs
    • Deploy updates
    • Perform security patches

17. Data Export Responsibility

You are responsible for your data management:

  • You must export your data before:
    • Canceling your account
    • Requesting account deletion
    • Subscription expiration
  • We are not liable for data lost after:
    • Account deletion
    • Service termination
    • The 30-day retention period
  • Export tools are provided in the account settings
  • Regular backups are recommended
